In Walmart’s Supplier Agreements, they have some definitions of some more retailer-specific terms that can be seen throughout the contract. Some of these have been duplicated here to help both Walmart suppliers and others in understanding Supplier Agreements.
Account refers to any entitlement to receive payments under this Agreement.
Authorized Buyer refers to any General Merchandise Manager, Divisional Merchandise Manager, Buyer, Senior Buyer, or Replenishment Manager (or their equivalent titles or successors) within the Company assigned to the relevant category or department for the purchased Merchandise.
Electronic Data Interchange (EDI) is the electronic transmission of business process information (such as invoicing, ordering, reporting, etc.) between two or more businesses in accordance with Company-mandated standards.
Law encompasses any applicable international, foreign, or domestic legislation, regulation, order, or other requirement enforced by a governing or regulatory authority with legal power (whether federal, state, or local), including any treaty, statute, common law, judicial decision, rule, regulation, code, or ordinance.
Merchandise includes all products, goods, materials, equipment, articles, and tangible items provided by the Supplier to the Company within the Territory, along with all packaging, instructions, warnings, warranties, advertising, and other related services.
Must Arrive By Date (MABD) indicates the delivery date or period specified in an Order.
Order means any written or electronic purchase order for Merchandise issued by the Company through an Authorized Buyer.
Recall involves the removal of Merchandise from commerce or the implementation of a corrective action plan or other remedial actions initiated by the Supplier, a government entity, or the Company.
Shared Services refers to the Company’s business division known as Global Shared Services, North America, or its functional successor, which serves as the Company’s accounting department responsible for managing new supplier agreements and updates to existing agreements.

Territory means the United States, including its territories and possessions.
